Gnosiis International

Gnosiis ATLAS Terms of Service

1. Services and Scope

Effective October 15, 2026. These Terms of Service (“Terms”) describe the general conditions governing the use of Gnosiis ATLAS (“ATLAS”), an advertising analytics, reporting, and campaign-management support platform developed and operated by Gnosiis International (“Gnosiis,” “we,” “us,” or “our”).

ATLAS is designed to assist authorized business clients with collecting and organizing advertising performance information, monitoring campaign activity and budgets, assessing data quality, generating performance reports, and identifying potential advertising improvements for human review.

ATLAS may support integrations with third-party advertising platforms, including Google Ads. Available services and features depend on the client's authorized account access, the applicable service arrangement, and the technical capabilities of the integration.

ATLAS is currently being introduced through a limited operational pilot. Certain capabilities may remain in development, testing, or restricted deployment. Gnosiis may expand or modify the platform's functionality as development progresses.

These Terms provide a general framework for ATLAS platform use. Specific advertising management services, campaign budgets, professional fees, billing arrangements, deliverables, and service commitments are governed by separate written agreements between Gnosiis and its clients.

If a separately executed client agreement conflicts with these Terms concerning the services covered by that agreement, the separately executed agreement will control to the extent of that conflict.

ATLAS does not guarantee specific advertising results, including impressions, clicks, leads, conversions, revenue, or return on advertising expenditure. Advertising performance depends on factors including market conditions, campaign configurations, competition, available budgets, and third-party platform behavior.

2. Client Authorization and Account Access

Clients are responsible for ensuring that they have the legal authority to grant Gnosiis access to the advertising accounts, business information, and related services used in connection with ATLAS.

Access to third-party advertising platforms, including Google Ads, may require authorization through the platform's account-permission settings, OAuth consent procedures, or other approved authentication methods.

By authorizing an integration, the client permits Gnosiis to access and process information from the designated advertising account for the purposes of providing the services agreed upon with the client.

ATLAS is designed to associate each client with specifically authorized advertising accounts and to restrict access to the accounts and operations approved for that client.

Clients remain responsible for maintaining appropriate account ownership, administrator permissions, billing arrangements, and compliance with applicable third-party platform requirements.

Gnosiis will not knowingly request or use access to advertising accounts without appropriate authorization. Clients must promptly notify Gnosiis if an authorization is granted in error, an account association is incorrect, or access should be discontinued.

Clients and authorized account users may revoke applicable permissions through the relevant advertising platform or Google Account settings. They may also contact Gnosiis to request termination of an ATLAS integration.

Revoking access may interrupt reporting, monitoring, or other services that depend on the affected account. Revocation does not automatically delete previously collected information or terminate separate contractual obligations. Data-deletion requests are handled in accordance with the Gnosiis ATLAS Privacy Policy.

Clients should not provide account passwords, OAuth tokens, or other sensitive authentication credentials through ordinary email or unsecured communications.

3. Advertising Management and Human Approval

Gnosiis ATLAS is designed to support advertising management through performance analysis, reporting, budget monitoring, campaign diagnostics, and recommendations subject to human review.

ATLAS may evaluate advertising expenditure, impressions, clicks, conversions, conversion values, campaign settings, and other available information to identify potential performance improvements.

Reports, alerts, forecasts, and recommendations generated by ATLAS are decision-support materials. They do not constitute guarantees of performance or instructions that must be implemented.

ATLAS's current Google Ads reporting integration is designed to operate under restricted account permissions and predefined application controls. It does not independently create, modify, pause, resume, or delete advertising campaigns.

Any advertising campaign changes performed by Gnosiis must be separately authorized and carried out by personnel or systems operating within the permissions granted under the applicable client agreement.

Gnosiis may recommend changes to advertising budgets, targeting, keywords, creative materials, bidding strategies, conversion tracking, or campaign structure. Implementation is subject to the applicable scope of authority, approval procedures, and advertising platform requirements.

Clients remain responsible for approving advertising expenditures and providing accurate information regarding their products, services, business operations, and applicable advertising restrictions.

Gnosiis will endeavor to identify material limitations in available advertising data, including incomplete tracking, inconsistent conversion attribution, and missing performance information. Such limitations may affect the reliability of reports and recommendations.

Advertising platforms may modify their systems, policies, reporting methods, or access requirements without notice to Gnosiis. ATLAS functionality and available reporting information may therefore change over time.

Unless otherwise expressly agreed in writing, Gnosiis does not guarantee any particular advertising outcome, customer acquisition volume, conversion rate, revenue level, or return on advertising expenditure.

4. Fees, Billing, and Third-Party Charges

Fees for advertising management, consulting, reporting, technology services, or other work performed by Gnosiis are established through separate written agreements with individual clients.

These Terms do not establish a universal subscription fee, advertising management fee, minimum advertising budget, or payment schedule. Such arrangements, where applicable, are specified in the relevant client agreement, statement of work, or other written authorization.

Advertising Expenditures

Advertising budgets and media expenditures are separate from Gnosiis's professional or technology service fees unless expressly stated otherwise in a written agreement.

Advertising platforms, including Google Ads, may charge for advertising activity according to their own billing policies and account settings.

Responsibility for funding advertising expenditures, maintaining valid payment methods, and paying advertising platform invoices is determined by the applicable client agreement and the billing arrangements established with the advertising platform.

Gnosiis will not assume responsibility for a client's advertising platform charges solely because Gnosiis has been granted account access.

Advertising Buying and Management

Where Gnosiis is separately engaged to purchase advertising media or manage advertising expenditures on a client's behalf, the scope of purchasing authority, approved budgets, payment responsibilities, invoicing procedures, and any applicable management compensation will be governed by the parties' written agreement.

Gnosiis will undertake advertising purchases only within the authority established by that agreement and any applicable client-approved spending limits.

Invoices and Payment

Invoices, payment deadlines, deposits, reimbursements, disputed charges, and any applicable consequences of late payment will be governed by the relevant written agreement.

Gnosiis may suspend or limit services for nonpayment only as permitted by the applicable agreement and law.

Third-Party Services

Clients may incur separate charges for advertising platforms, website hosting, analytics tools, payment processors, or other third-party services.

Unless otherwise agreed, those charges are governed by the applicable third-party provider's terms and billing policies.

Gnosiis does not control third-party pricing, billing decisions, or service availability and cannot guarantee uninterrupted access to external advertising systems.

5. Data Protection, Confidentiality, and Intellectual Property

Client Information and Confidentiality

Gnosiis International (“Gnosiis”) recognizes that advertising account information, business records, campaign strategies, financial information, customer-related information, and other materials provided by clients may be confidential or commercially sensitive.

Gnosiis will use client information for the purposes of providing authorized services, fulfilling contractual obligations, maintaining operational records, and complying with applicable legal requirements.

Gnosiis will not knowingly disclose confidential client information to unrelated third parties except where authorized by the client, necessary to provide agreed services, required by law, or otherwise permitted under the applicable client agreement.

Clients retain ownership of their advertising accounts, underlying business information, and materials they provide to Gnosiis, subject to any applicable third-party rights.

Data Protection and Access Controls

ATLAS is designed to maintain separation between individual clients' advertising accounts and reporting information.

Its Google Ads integration architecture incorporates explicit account mapping, restricted API operations, credential-handling controls, and authorization checks intended to prevent unauthorized access or campaign modifications.

Gnosiis will use security measures appropriate to the nature of the information and the systems involved. Such measures may include access restrictions, protected credential storage, audit records, and other technical or organizational safeguards.

No electronic system can be guaranteed completely secure. Gnosiis does not warrant that unauthorized access, data loss, or service interruption can never occur.

The collection, use, retention, and deletion of information through ATLAS are further described in the Gnosiis ATLAS Privacy Policy.

Intellectual Property

Except where otherwise agreed in writing, Gnosiis retains ownership of ATLAS, including its software, underlying technology, analytical methods, reporting frameworks, documentation, proprietary processes, and related intellectual property.

Clients retain ownership of their pre-existing trademarks, business identities, advertising accounts, supplied content, and other intellectual property.

Ownership and permitted use of advertising creative materials, campaign assets, custom reports, and other deliverables developed during an engagement will be determined by the applicable written client agreement.

Nothing in these Terms transfers ownership of ATLAS source code or proprietary technology to a client.

Permitted Use

Clients may use ATLAS reports and other authorized deliverables for their internal business purposes, subject to applicable agreements.

Clients may not reproduce, redistribute, sublicense, reverse-engineer, or commercially exploit ATLAS software or proprietary technology except as expressly permitted by Gnosiis or applicable law.

Third-Party Platforms

Google Ads and other integrated services remain the property of their respective providers and are governed by their own terms and policies.

Gnosiis does not claim ownership of Google Ads or other third-party platform technologies.

Access to third-party advertising information remains subject to the permissions, restrictions, and conditions established by the applicable platform and account owner.

6. Liability, Termination, and Contact Information

Service Availability and Limitations

Gnosiis International (“Gnosiis”) endeavors to provide reliable advertising management, analytics, and reporting services through Gnosiis ATLAS (“ATLAS”).

ATLAS depends in part on third-party advertising platforms, internet connectivity, data availability, and other external systems. Gnosiis cannot guarantee uninterrupted availability, error-free reporting, or continuous access to third-party services.

Advertising reports, forecasts, and recommendations are provided to support business decision-making. They may be affected by incomplete information, reporting delays, changes in attribution methods, or other limitations.

Gnosiis does not guarantee specific advertising results, sales, customer acquisitions, revenue, or returns on advertising expenditure.

Limitation of Liability

To the extent permitted by applicable law, liability arising from ATLAS services will be determined by the applicable client agreement and governing legal requirements.

Any contractual limitations or exclusions of liability must be interpreted consistently with applicable law and any separately executed agreement between Gnosiis and the client.

Nothing in these Terms is intended to exclude or restrict liability that cannot lawfully be excluded or to waive rights that cannot lawfully be waived.

Suspension and Termination

Clients may request discontinuation of ATLAS account integrations by contacting Gnosiis or revoking the applicable advertising-platform authorization.

The termination of advertising management services, including applicable notice requirements, outstanding payments, ongoing campaign responsibilities, and the disposition of work in progress, will be governed by the relevant written client agreement.

Gnosiis may suspend or discontinue an integration when reasonably necessary to address security concerns, unauthorized access, legal requirements, third-party platform restrictions, or other circumstances permitted by an applicable agreement.

Following termination, Gnosiis will address retained client information in accordance with its Privacy Policy, applicable contractual obligations, and legal requirements.

Termination of an ATLAS integration does not automatically terminate advertising platform billing arrangements or cancel outstanding charges owed to third parties.

Changes to These Terms

Gnosiis may update these Terms to reflect changes in its services, technology, operational practices, or applicable legal requirements.

Updated Terms will be published on the Gnosiis website with a revised effective date. Where required by law or an applicable agreement, additional notice or consent will be obtained before material changes take effect.

Governing Agreements and Applicable Law

The applicable client agreement will determine the governing law, dispute-resolution procedures, and other contractual provisions for the services covered by that agreement.

Where no separate agreement addresses a particular matter, applicable law will govern.
